FirstHi Terms of Service

Welcome to FirstHi ("FirstHi," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the FirstHi website, software, widgets, and related services (collectively, the "Services").

By creating an account, purchasing a subscription, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. About FirstHi

FirstHi is a software platform that allows businesses to embed personalized welcome videos and calls to action on their websites to help website visitors learn more about their business.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement.

If you use FirstHi on behalf of a company or organization, you represent that you have authority to bind that organization to these Terms.

3. Your Account

You are responsible for:

  • Maintaining the confidentiality of your account credentials.

  • All activity that occurs under your account.

  • Providing accurate and up-to-date account information.

You agree to notify us immediately if you believe your account has been compromised.

4. Customer Content

You retain ownership of all content you upload or provide through FirstHi, including videos, logos, images, text, branding, and website information ("Customer Content").

You grant FirstHi a worldwide, non-exclusive, royalty-free license to host, process, reproduce, transmit, and display your Customer Content solely for the purpose of operating and providing the Services.

You represent and warrant that:

  • You own or have all necessary rights to the Customer Content.

  • Your Customer Content does not violate any law or third-party rights.

  • Any individuals appearing in uploaded videos have consented to their appearance where required by law.

5. Acceptable Use

You agree not to use FirstHi to:

  • Violate any applicable law.

  • Upload malware or malicious code.

  • Infringe copyrights, trademarks, or other intellectual property.

  • Impersonate another individual or business.

  • Distribute unlawful, defamatory, hateful, or fraudulent content.

  • Attempt to interfere with or disrupt the Services.

  • Reverse engineer or attempt to access the source code except where permitted by law.

We reserve the right to suspend or terminate accounts that violate these Terms.

6. Subscription and Billing

Certain features require a paid subscription.

Subscriptions automatically renew unless canceled before the next billing period.

Payments are processed by third-party payment providers such as Stripe. FirstHi does not store your complete payment card information.

Unless otherwise stated, subscription fees are non-refundable except where required by applicable law.

7. Intellectual Property

The FirstHi platform, software, website, trademarks, logos, graphics, designs, and underlying technology are owned by FirstHi and protected by intellectual property laws.

These Terms do not grant you ownership of any FirstHi intellectual property.

8. Service Availability

We strive to provide reliable Services but do not guarantee uninterrupted, secure, or error-free operation.

We may modify, improve, suspend, or discontinue features at any time.

9. Analytics

FirstHi may provide analytics regarding widget usage, including views, opens, clicks, and related engagement metrics.

These analytics are estimates and should not be relied upon as definitive measurements.

10. No Guarantee of Results

FirstHi is designed to help businesses present themselves more personally to website visitors and may improve visitor engagement.

However, FirstHi does not guarantee any increase in:

  • Leads

  • Sales

  • Bookings

  • Conversions

  • Revenue

  • Customer engagement

  • Search engine rankings

  • Website traffic

  • Business growth

Business outcomes depend on numerous factors outside of FirstHi's control, including your products, services, pricing, website design, marketing efforts, industry, competition, and visitor behavior.

11. Customer Responsibility

You are solely responsible for:

  • The content you upload.

  • Compliance with applicable privacy, marketing, and consumer protection laws.

  • Obtaining any legally required notices or consents from your website visitors.

  • The operation and content of your own website.

12. Third-Party Services

The Services may integrate with third-party providers including payment processors, hosting providers, analytics platforms, and content delivery networks.

Your use of those services may also be governed by their own terms and privacy policies.

13. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIRSTHI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIRSTHI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY ARISING FROM OR RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO FIRSTHI DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

15. Indemnification

You agree to indemnify and hold harmless FirstHi and its owners, employees, and affiliates from claims arising out of:

  • Your Customer Content

  • Your use of the Services

  • Your violation of these Terms

  • Your violation of applicable law or third-party rights

16. Termination

You may stop using the Services at any time.

We may suspend or terminate your account if you violate these Terms or if continued access presents legal, security, or operational risks.

Upon termination, your right to use the Services immediately ends.

17. Changes to These Terms

We may update these Terms from time to time.

If material changes are made, we will update the Effective Date and provide notice where required by law.

Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

18. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.

Any legal action arising under these Terms shall be brought in the state or federal courts located in Miami-Dade County, Florida.
